1. Introduction

Welcome to Scapat! These Terms and Conditions ("Terms") govern your use of the Scapat app and website (www.scapat.net), a platform dedicated to facilitating the sale and purchase of tickets for various events and activities. 

By accessing or using our service, you agree to be bound by these Terms and the accompanying policies. If you do not agree with any part of these Terms, you must not use our services.

2. Definitions

In these Terms, the following definitions apply:

• "App" refers to the Scapat mobile application.

• "Service" encompasses all functionalities provided by Scapat, including but not limited to, event listing, ticket sales, and user interaction.

• "User" refers to anyone who accesses or uses our App, including event organizers and ticket purchasers.

• "Organizer" means an entity or individual who uses the App to create and promote events.

• "Participant" denotes a user who purchases or acquires tickets to events via the App.

3. User Eligibility and Account Registration

To use the Scapat services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction.

• Provide accurate and complete registration information.

• Maintain the security of your login credentials.

• Accept full responsibility for all activities that occur under your account.

• Inform us immediately of any unauthorized use of your account.

4. Nature and Use of the Service

Scapat provides a digital platform for Organizers to list and promote their events, and for Participants to discover and purchase tickets for these events. The service includes features that allow for the advertisement of events, online ticket sales, and user engagement. We act as an intermediary between Organizers and Participants, facilitating transactions and communication.

5. User Obligations and Conduct

As a User of Scapat, you agree to:

• Comply with all applicable laws and these Terms.

• Use the Service only for lawful purposes.

• Refrain from uploading or sharing content that is illegal, offensive, or infringes on others' rights.

• Not engage in fraudulent activities, impersonation, or any form of harassment.

• Protect your account information and supervise its use.

6. Event Organizer Criteria and Responsibilities

Organizers agree to:

• Ensure their events comply with all local laws and regulations.

• Provide complete and accurate event information.

• Set fair and reasonable ticket prices.

• Manage their events responsibly, including attendee communication and event modifications.

• Cooperate with Scapat for any necessary event verification or inquiry.

7. Ticket Sales and Purchasing Terms

Ticket Sales:

• Tickets are sold via the Scapat platform, subject to availability and the terms set by the Organizer.

• Scapat is not responsible for the production or execution of events, which are solely the Organizer’s responsibility.

Purchasing Terms:

• Tickets purchased through Scapat are subject to the Organizer’s terms and conditions.

• Users are responsible for verifying the event details before making a purchase.

• All sales are considered final unless the event is canceled.

8. Pricing, Fees, and Commission Structure

• Pricing: The pricing of tickets is determined by the Organizers. Scapat is not responsible for setting ticket prices.

• Fees: Scapat may charge a service fee on each ticket sold, which will be disclosed at the time of purchase.

• Commissions: For paid events, Scapat charges a commission, typically ranging from 3-5% of the ticket’s subtotal. The exact commission rate will be agreed upon between Scapat and the Organizer.

9. Payment Processing

• All payments made through Scapat are processed using secure third-party payment gateways, such as Stripe.

• Users must provide valid payment information and are responsible for any transaction fees imposed by their bank or the payment gateway.

• Scapat takes reasonable measures to ensure the security of payment transactions but is not liable for any breaches of security by third-party payment processors.

10. User-Generated Content

• Users may post content, such as reviews, comments, and images, on the App.

• By posting content, Users grant Scapat a non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with the Service.

• Scapat reserves the right to remove any content that violates these Terms or is otherwise deemed inappropriate.

11. Intellectual Property Rights

• Scapat, its logo, and all related graphics, photographs, logos, and service marks are the property of Scapat or its licensors.

• Users may not use any of Scapat’s intellectual property without the express written consent of Scapat.

• Any unauthorized use of Scapat's intellectual property may result in legal action.

12. User Interaction and Communication

• Scapat may provide features that allow Users to communicate with Organizers and other Users.

• Users are expected to communicate respectfully and responsibly.

• Scapat is not responsible for any interactions or communications that occur between Users and Organizers.

13. Prohibited Activities

• Users shall not engage in activities that: infringe on the rights of others; involve the transmission of "junk mail," "chain letters," or unsolicited mass mailing or "spamming"; are defamatory, abusive, or obscene; or violate any applicable laws.

• Scapat reserves the right to investigate and take appropriate legal action against anyone who, in Scapat’s sole discretion, violates this provision.

14. Account Suspension and Termination

• Scapat reserves the right to suspend or terminate a User’s account for any breach of these Terms.

• Upon suspension or termination, the User will lose access to their account and any content therein.

• Users can terminate their account by following the procedures specified on the App.

15. Modifications to the Service

• Scapat reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

• Users acknowledge and agree that Scapat shall not be liable to them or to any third party for any modification, suspension, or discontinuance of the Service.

16. Third-Party Links and Services

• The App may contain links to third-party websites or services that are not owned or controlled by Scapat.

• Scapat has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

• Users acknowledge and agree that Scapat shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

17. Disclaimer of Warranties

• The Service is provided on an “as is” and “as available” basis. Scapat expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

• Scapat makes no warranty that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free.

18. Limitation of Liability

• In no event shall Scapat, its officers, directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

19. Indemnification

• You agree to defend, indemnify and hold harmless Scapat and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

20. Dispute Resolution and Governing Law

• These Terms shall be governed and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.

• Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

21. Modification of Terms

• Scapat reserves the right, at our sole discretion, to modify or replace these Terms at any time.

• If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

22. Force Majeure

• Scapat will not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Scapat's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation (including "line-noise" interference).

23. Compliance with Laws

• You agree to use the Service in compliance with all applicable local, state, national, and international laws, rules, and regulations.

• You shall not use the Service for any illegal or unauthorized purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction.

24. Feedback and Suggestions

• Users may submit feedback, suggestions, or ideas about the Service. By submitting such feedback, you agree that this is non-confidential and non-proprietary and Scapat may use this information without any obligation to you.

• Feedback provided can be used to modify the Service without any obligation to provide acknowledgment or compensation.

25. Miscellaneous Provisions

• Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.

• Waiver: The failure of Scapat to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

• Entire Agreement: These Terms constitute the entire agreement between you and Scapat and govern your use of the Service, superseding any prior agreements between you and Scapat.

• Notification Procedures: Scapat may provide notifications, whether such notifications are required by law or are for marketing or other business-related purposes, to you via email notice, written or hard copy notice, or through conspicuous posting of such notice on our website, as determined by Scapat in our sole discretion.

• Changes to Service: Scapat reserves the right, at its sole discretion, to modify or discontinue the Service without notice at any time.
